Introduction
These Terms and Conditions govern the relationship between SH Associates and its Clients. By engaging the services of the Company, the Client agrees to adhere to these terms.
Services Provided
The Company offers a range of management services, which may include, but are not limited to,Event Management. Services will be delivered according to the agreed scope outlined in the service contract or proposal signed by both parties.
Responsibilities of the Company
- The Company will perform all services with reasonable care, skill, and diligence in accordance with industry standards.
- The Company will maintain open and clear communication with the Client regarding the status of any ongoing work.
- The Company will comply with all applicable laws and regulations while delivering its services.
Responsibilities of the Client
- The Client agrees to provide the Company with all necessary information and cooperation required for the effective provision of services.
- The Client commits to paying the agreed-upon fees according to the payment schedule outlined in the service contract or proposal.
- The Client is responsible for promptly notifying the Company of any changes in the scope of services or any issues that may affect service delivery.
Fees and Payment Terms
- All fees for the services provided by the Company will be detailed in the service contract or proposal.
- Payment is due within 45 days of the invoice date unless otherwise agreed upon in writing.
- Late payments will incur a fee of 2% of the outstanding amount.
- The Company reserves the right to suspend services if payment is not received within the agreed timeframe.
Contract Duration and Termination
- The contract shall commence on the start date and continue for the duration specified in the service contract.
- Either party may terminate the contract by providing 30 days' written notice.
- The Company reserves the right to terminate the contract without notice if the Client breaches any of these terms and conditions.
- Upon termination, the Client must settle any outstanding fees for services rendered up to the termination date.
Confidentiality
Both parties agree to maintain the confidentiality of any sensitive or proprietary information disclosed during the course of the relationship. This obligation shall survive the termination of the contract.
Liability
- The Company will not be liable for any indirect, incidental, or consequential damages arising from the services provided, except in cases of gross negligence or willful misconduct.
- The Company's total liability under this contract shall not exceed the total fees paid by the Client for the services provided.
Force Majeure
Neither SH Associates nor the client will be held responsible for delays or failure to fulfill obligations due to situations beyond their reasonable control, such as natural disasters, public health emergencies, government restrictions, or other significant events.
Amendments
The Company reserves the right to amend these terms and conditions from time to time. Any amendments will be communicated to the Client and shall become effective 30 days after notification.
Governing Law
These terms and conditions are governed by the laws of [Jurisdiction/Country], and any disputes shall be resolved in the courts of [Jurisdiction/Country].
Dispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the matter amicably. If a resolution cannot be reached, the parties may pursue mediation or arbitration before taking legal action.
